User Obligations and Responsibilities

Payment Terms and Pricing

• All prices are quoted in Euros (EUR) and exclude VAT unless stated otherwise
• Payment terms are typically 30 days from invoice date
• Late payment may result in suspension of services and interest charges
• Disputed invoices must be raised within 30 days of receipt
• All expenses and third-party costs will be charged separately

UrbanFlowes reserves the right to adjust pricing with reasonable notice for ongoing services. Changes to project scope may result in additional charges as agreed between the parties.

Limitation of Liability

To the maximum extent permitted by applicable law, UrbanFlowes's total liability to you for any claims arising from or related to our services shall not exceed the total amount paid by you to UrbanFlowes in the twelve (12) months preceding the claim.

UrbanFlowes shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption or downtime
• Cost of substitute services or products
• Damage to reputation or goodwill

Our services are provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded by law.

Confidentiality and Data Protection

UrbanFlowes is committed to protecting the confidentiality of client information and personal data. We will:

• Maintain appropriate technical and organisational security measures
• Process personal data in accordance with our Privacy Policy and GDPR
• Not disclose confidential information without authorisation
• Use client data only for the purposes of providing agreed services
• Return or destroy confidential information upon request or contract termination

Force Majeure

UrbanFlowes shall not be liable for any failure or delay in performance under these Terms which is due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, floods, earthquakes, or severe weather
• War, terrorism, civil unrest, or government actions
• Pandemic, epidemic, or public health emergencies
• Internet outages, cyber attacks, or infrastructure failures
• Supplier failures or shortages beyond our control

In such circumstances, we will make reasonable efforts to minimise delays and will notify affected clients as soon as practicable.

Termination

Either party may terminate service agreements in accordance with the specific termination provisions set out in those agreements. General termination rights include:

• Termination for convenience with appropriate notice period
• Immediate termination for material breach that remains uncured
• Termination for insolvency or bankruptcy of either party
• Termination for non-payment after appropriate notice

Upon termination:

• All outstanding fees become immediately due and payable
• UrbanFlowes will cease providing services
• Each party will return or destroy confidential information
• Provisions relating to payment, confidentiality, and intellectual property will survive

UrbanFlowes reserves the right to suspend or terminate access to our website or services immediately if we believe you have violated these Terms or applicable law.

Governing Law

These Terms and any disputes arising from or relating to our services shall be governed by and construed in accordance with the laws of Ireland. The Irish courts shall have exclusive jurisdiction over any disputes arising from these Terms or our services.

Before resorting to formal legal proceedings, the parties agree to attempt to resolve any disputes through good faith negotiations. If negotiations fail, disputes may be referred to mediation or arbitration as agreed between the parties.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

General Provisions

These Terms constitute the entire agreement between you and UrbanFlowes regarding the use of our website, subject to any separate service agreements. Key provisions include:
